OpenSea Pushes Back Against SEC On NFT Regulation

OpenSea, the world’s leading NFT marketplace, has formally challenged the SEC’s stance on NFT regulation. In a letter to SEC Commissioner Hester Peirce dated April 9, 2025, OpenSea argued that NFTs are not financial securities and that the platform is neither a broker nor an exchange. The letter comes 48 hours before an SEC roundtable on crypto regulation. OpenSea’s legal team emphasized in an 8-page document that NFTs are primarily acquired for their artistic or cultural value, rather than as an investment. This position aligns with dissent expressed by Commissioner Peirce in the Stoner Cats case. Despite this, the SEC has issued a ’Wells Notice’ against OpenSea, suggesting that the platform may be operating as an unregistered securities exchange.
